These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Client," or "You") and Northern Star Business Consulting ("NSBC," "We," "Us," or "Our"), a business consulting and digital products company duly registered in Nigeria.
These Terms govern your access to and use of the NSBC website located at northernstarbusinessconsult.com (the "Website"), as well as any digital products, consulting services, programmes, and resources we offer (collectively referred to as "Services").
By visiting our Website, creating an account, completing a purchase, or engaging with any NSBC product or service in any capacity, you confirm that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree to any part of these Terms, you must immediately discontinue your use of our Website and Services.
These Terms apply to all users of the Website, including but not limited to visitors, clients, purchasers, programme participants, and anyone who accesses NSBC content in any format.
NSBC reserves the right to update, modify, or replace these Terms at any time. When changes are made, the updated version will be published on this page with a revised effective date. Your continued use of the Website or Services after any update constitutes your acceptance of the revised Terms.
Northern Star Business Consulting is a direct consulting and digital products business. We specialise in helping service-based businesses build revenue systems, client acquisition strategies, and operational infrastructure that produces consistent and scalable growth.
NSBC is not a marketplace. We do not host, facilitate, or connect third-party service providers with clients. All products sold and all services delivered through NSBC are created, produced, and delivered exclusively by NSBC and our internal team. Any payments processed through our platform are received solely by NSBC in exchange for our own products and services.
Our offerings include but are not limited to digital business templates, strategy frameworks, launch plans, business growth programmes, one-on-one consulting engagements, done-for-you business growth services, and educational business resources.
For the purposes of these Terms, the following definitions apply:
"Digital Products" refers to any downloadable or electronically delivered resource offered for sale by NSBC, including but not limited to business templates, strategy guides, workbooks, business plan frameworks, launch plans, and any other digital file or resource.
"Consulting Services" refers to any one-on-one, group, or advisory session delivered by NSBC, whether conducted in person, via video call, telephone, or any other medium.
"Programmes" refers to multi-session structured engagements, retainers, accelerators, or group offerings delivered by NSBC over a defined period.
"Client" refers to any individual or business entity that has purchased or engaged with any NSBC product or service.
"Content" refers to all text, images, video, audio, frameworks, templates, documents, and any other material produced by or associated with NSBC.
"Intellectual Property" refers to all proprietary content, frameworks, methodologies, trademarks, branding, and creative works owned by or associated with NSBC.
"Purchase" refers to any completed transaction through which a Client acquires access to a Digital Product, Consulting Service, or Programme offered by NSBC.
"Platform" refers to the NSBC website, any associated landing pages, and any digital channels through which NSBC delivers its products and services.
By using our Website or purchasing any NSBC product or service, you represent and warrant that you are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher, and that you have the legal capacity and authority to enter into a binding agreement.
If you are purchasing on behalf of a business or organisation, you confirm that you have the authority to bind that entity to these Terms.
You also confirm that you are not prohibited by any applicable law from accessing or using NSBC products or services.
NSBC reserves the right to refuse service to any individual or entity at our sole discretion, including where we have reason to believe that the above conditions are not met.
NSBC offers a range of Digital Products and Consulting Services. Descriptions, inclusions, and pricing for each product and service are detailed on the relevant product or service page on our Website at the time of purchase.
NSBC reserves the right to modify, update, discontinue, or replace any product or service at any time without prior notice. Where a product has been paid for and is subsequently discontinued before delivery, the Client will be offered an alternative or a full refund.
All product descriptions are written to accurately represent the content and value of each offering. NSBC does not make guarantees of specific business outcomes, revenue figures, or results. Individual results will vary based on factors including the Client's business model, effort, market conditions, industry, and other variables outside of NSBC's control.
All prices are displayed clearly on the relevant product or service page at the time of purchase. Prices may be denominated in Nigerian Naira or United States Dollars depending on the product and the market it is intended for.
All payments are processed securely through Paystack, our authorised payment processor. By completing a purchase, you authorise NSBC to charge the full stated amount to the payment method you have provided.
Payment is required in full before access to any Digital Product is granted or any Consulting Service is delivered. NSBC does not offer credit, deferred payment, or instalment arrangements unless explicitly stated in the relevant product or programme offering.
By submitting your payment information, you confirm that you are the authorised user of the payment method provided and that all information entered is accurate and complete. NSBC is not responsible for failed transactions resulting from incorrect payment details, insufficient funds, or restrictions imposed by your bank or payment provider.
All transactions are subject to applicable Nigerian taxes where required. If any tax or levy applies to your purchase, it will be clearly reflected at the point of checkout.
NSBC reserves the right to adjust pricing at any time. Price changes will not affect purchases that have already been completed.
Upon successful payment confirmation, your Digital Product will be delivered to the email address you provided at the time of checkout. Delivery is automated and typically occurs within minutes of payment confirmation.
It is your responsibility to provide a valid, active email address at the time of purchase. NSBC is not responsible for non-delivery caused by an incorrect email address entered during checkout, emails blocked or filtered into your spam or junk folder, or restrictions imposed by your email provider.
If you do not receive your product within 24 hours of a successful payment, contact us via the contact page with your full name and payment reference, and we will resolve the issue promptly.
Digital Products are provided in the format stated on the product page. NSBC does not guarantee compatibility with all devices, operating systems, or software applications. It is your responsibility to ensure you have the appropriate software to access the product you have purchased.
All Consulting Services are delivered digitally via video call, telephone, or any mutually agreed channel. NSBC does not currently offer in-person consulting sessions unless explicitly stated and agreed to in writing.
Sessions must be scheduled in advance through the booking process detailed by NSBC at the time of engagement. Clients are responsible for showing up to scheduled sessions on time and with the preparation required as communicated prior to the session.
If a session does not hold due to an error or unavailability on NSBC's part, we will offer the Client a rescheduled session at no additional cost.
NSBC reserves the right to reschedule sessions in circumstances beyond our reasonable control. Where this occurs, we will provide as much advance notice as possible and offer an alternative time that is mutually convenient.
All NSBC products and services are intended for personal and professional business development use only. By purchasing or accessing any NSBC product or service, you agree to the following conditions of use.
All content produced, developed, and distributed by NSBC, including but not limited to Digital Products, business frameworks, methodologies, templates, written materials, course content, video content, audio content, branding, logos, trademarks, and the S.T.A.R. Methodology, is the exclusive intellectual property of Northern Star Business Consulting.
Nothing in these Terms or in the purchase of any NSBC product or service transfers any intellectual property rights to the Client. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the purchased product for your own personal and professional business development purposes only.
Any unauthorised use, reproduction, distribution, or commercial exploitation of NSBC intellectual property without prior written consent will constitute an infringement and NSBC reserves the right to pursue all available legal remedies.
All third-party content referenced or included in NSBC materials remains the intellectual property of the respective rights holders and is used by NSBC under applicable licences or fair use provisions.
Due to the immediate and digital nature of our products, sales of Digital Products are generally final once the download link has been accessed or the product has been delivered to your email address.
However, NSBC is committed to delivering products that genuinely deliver on their stated promise. If you believe in good faith that a Digital Product has materially failed to deliver on what was explicitly promised in the product description, you may submit a refund request via the contact page within 7 days of your purchase date.
Your request must include your full name, the email address used at checkout, your payment reference number, the name of the product purchased, and a clear and specific explanation of how the product failed to deliver on its stated promise.
NSBC will review all refund requests within 48 hours of receipt. We reserve the right to request additional information to assess your claim fairly. Approved refunds will be processed within 5 to 10 business days depending on your bank or payment provider.
Payment for Consulting Services is required upfront before any session is delivered. If you need to cancel or reschedule a booked session, you must notify NSBC at least 24 hours before the scheduled session time via the contact page.
Sessions cancelled with more than 24 hours notice will be rescheduled at no additional cost. Sessions cancelled with less than 24 hours notice, or where the Client fails to attend without prior notice, will be forfeited and no refund or rescheduling will be offered.
Refunds are not available for Consulting Sessions that have already been delivered, regardless of the Client's satisfaction with the outcome.
For multi-session programmes and retainer engagements, Clients who wish to cancel their enrolment may request a review within 48 hours of their initial payment, provided no sessions have been delivered and no programme materials have been accessed. Requests submitted within this window will be considered for a full refund at NSBC's discretion.
After the 48-hour window, or once any session has been delivered or any programme material has been accessed, all payments are final and non-refundable.
If NSBC cancels a programme or is unable to fulfil a programme commitment, enrolled Clients will be offered an alternative programme, a credit, or a full refund.
NSBC is committed to resolving all disputes fairly and efficiently. If you have a concern, complaint, or dispute arising from a purchase or engagement with NSBC, you must first attempt to resolve it by contacting us directly via the contact page.
To initiate a dispute, send a message within 7 days of the transaction or event giving rise to the dispute. Your message must include your full name, the email address used at purchase, your payment reference number, a detailed description of the nature of the dispute, and the resolution you are seeking.
NSBC will acknowledge your dispute within 24 hours and respond with a resolution proposal within 48 hours of receipt.
Where a dispute cannot be resolved through direct communication, both parties agree to pursue mediation before initiating any formal legal proceedings. The mediation shall be conducted in Nigeria under Nigerian law.
NSBC reserves the right to make a final determination on all disputes based on these Terms and Conditions, the product description, and the evidence available. Our determination will be communicated in writing.
NSBC provides consulting frameworks, strategies, tools, and resources designed to support business growth. Business results are inherently influenced by a wide range of factors outside of NSBC's control, including but not limited to market conditions, economic environment, individual effort, business model, and third-party variables.
NSBC does not guarantee any specific revenue outcome, client acquisition result, business growth figure, or financial return as a result of engaging with any NSBC product or service.
To the fullest extent permitted by applicable Nigerian law, NSBC's total liability to any Client for any claim arising from the use of our products or services shall not exceed the total amount paid by that Client to NSBC for the specific product or service giving rise to the claim.
NSBC shall not be liable for any indirect, incidental, consequential, special, or punitive loss or damage, including but not limited to loss of revenue, loss of profit, loss of data, loss of business, or reputational harm, arising from your use of or inability to use any NSBC product or service.
Nothing in these Terms excludes or limits NSBC's liability for fraud, wilful misconduct, or any other liability that cannot be excluded under applicable Nigerian law.
NSBC warrants that all Digital Products are delivered as described on the relevant product page and that all Consulting Services are delivered with reasonable professional care and skill.
Beyond this, NSBC makes no warranties, express or implied, regarding the fitness of any product or service for a particular purpose, the accuracy of any business projections or frameworks included in our products, or the specific results any Client will achieve by implementing our recommendations.
The NSBC Website and all content on it are provided on an "as is" and "as available" basis. NSBC does not warrant that the Website will be uninterrupted, error-free, or free of viruses or harmful components. We are not responsible for any damage to your device or data resulting from your use of the Website.
NSBC is committed to protecting your personal data in accordance with the Nigeria Data Protection Regulation (NDPR) and applicable data protection laws.
By using our Website and purchasing our products or services, you consent to the collection and use of your personal data for the purposes of processing your order, delivering your product or service, communicating with you about your purchase, and improving our offerings.

NSBC shall not be held liable for any failure or delay in fulfilling our obligations under these Terms where such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, government action, civil unrest, internet outages, power failures, or any other event outside NSBC's reasonable control.
In such circumstances, NSBC will notify affected Clients as soon as reasonably practicable and will work to resume normal service delivery as quickly as possible.
You agree to indemnify, defend, and hold harmless NSBC, its directors, team members, affiliates, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses, including legal fees, arising from your breach of these Terms, your misuse of any NSBC product or service, your violation of any applicable law, or any claim made by a third party as a result of your actions in connection with NSBC products or services.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from the rest of these Terms. The remaining provisions shall continue in full force and effect.
NSBC's failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of our right to enforce that provision on any future occasion. No waiver of any term shall be effective unless made in writing and signed by an authorised representative of NSBC.
These Terms, together with any product-specific terms communicated at the time of purchase and our Privacy Policy, constitute the entire agreement between you and NSBC with respect to your use of our Website and Services. They supersede all prior communications, representations, or agreements, whether written or oral, relating to the same subject matter.
These Terms and Conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising under or in connection with these Terms that cannot be resolved through direct communication or mediation shall be subject to the exclusive jurisdiction of the courts of Nigeria.
